These Terms of Service ("Terms") are a legally binding agreement between Outbox Labs ("we," "us," "our") and you ("you," "Customer"). They govern your access to and use of VisitorIQ and any related websites, applications, scripts, and services we provide (collectively, the "Services").
1. Who we are
Outbox Labs provides VisitorIQ, a website visitor identification and intent tool. The Services may identify both individuals and organizations associated with website visits, using first-party signals (your site activity) and third-party data sources.
2. Eligibility and account
You represent that you are at least 18 years old and have authority to bind your organization. You are responsible for safeguarding credentials and all activity under your account.
3. Subscription, billing, and no refunds
Fees are billed in advance unless stated otherwise. ALL FEES ARE NON-REFUNDABLE. We do not provide refunds or credits for partial months, unused time, downgrades, cancellations, or unused features. Taxes may apply.
We may suspend or terminate access for non-payment or chargebacks.
4. Your responsibilities (compliance and lawful use)
You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations (including privacy, marketing, and anti-spam laws). You are solely responsible for:
- Providing required notices and obtaining valid consent where required before deploying our script, pixels, tags, or similar technology on your websites.
- Ensuring you have a lawful basis to collect, share, and process data and to contact individuals (including where required: opt-in, prior consent, or another permitted basis).
- Configuring your use so you do not upload or process Sensitive Data (defined below) unless we explicitly agree in writing.
- Your content, messaging, targeting, and outreach practices; and honoring opt-outs and suppression lists promptly.
Sensitive Data includes: government identifiers, financial account numbers, precise geolocation, biometric data, health information, children's data, and any data regulated as "special category" or similar under applicable law.
5. Prohibited uses
You must not (and must not allow others to):
- Send or facilitate unsolicited bulk email, spam, or misleading communications; or violate CAN-SPAM, CASL, GDPR/UK GDPR, PECR, ePrivacy, or similar laws.
- Harvest, scrape, or reverse engineer the Services; probe, scan, or test vulnerabilities; or bypass access controls or rate limits.
- Use the Services to discriminate unlawfully, to make decisions with significant effects on individuals without required safeguards, or to profile in a way that violates law.
- Use the Services for surveillance, stalking, harassment, threats, or any illegal, harmful, or deceptive purpose.
- Upload malware, attempt to disrupt the Services, or interfere with other users.
6. Data sources and accuracy
The Services may use third-party data (e.g., business databases, enrichment providers, network and device signals). Data may be incomplete, outdated, inferred, or inaccurate. You are responsible for independently verifying information before relying on it.
7. Customer data and retention
"Customer Data" means data you provide to the Services or that we process on your behalf, including data collected through your deployment of our script.
We retain Customer Data for up to 3 months by default, unless a longer period is required to provide the Services, comply with law, resolve disputes, or enforce these Terms. You may request deletion earlier, subject to legal and technical constraints (e.g., backups).
8. Intellectual property
We and our licensors own all rights in the Services, including software, scripts, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services during your subscription, subject to these Terms.
You may not copy, modify, create derivative works, resell, sublicense, or make the Services available to third parties except as expressly permitted in writing.
9. Confidentiality
Each party may receive Confidential Information from the other. You will use Confidential Information only to use the Services and will protect it using reasonable care (at least the same care you use to protect your own).
10. Suspension and termination
We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or applicable law; or if your use poses risk to the Services, other customers, or third parties.
Upon termination, your right to use the Services ends. Sections intended to survive termination (including fees, restrictions, disclaimers, limitations, and indemnities) will survive.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION; AND
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 3 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You will defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) Customer Data; (c) your outreach or marketing practices; or (d) your violation of these Terms or applicable law.
14. Changes
We may update these Terms from time to time. The "Last updated" date reflects the effective date. Continued use after changes become effective constitutes acceptance.
15. Governing law and venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Services.
16. Miscellaneous
If any provision is unenforceable, the remainder will remain in effect. You may not assign these Terms without our prior written consent. These Terms, together with referenced policies, are the entire agreement regarding the Services.
